Terms & Conditions for NTTi-net

  1. General
    1. The Services (defined below) are provided by NTT Singapore Pte. Ltd. ("NTTS"), subject to the terms and conditions herein, to such person approved by NTTS (the "Customer").
    2. NTTS reserves the right to amend the terms and conditions herein from time to time upon notice to the Customer.
    3. The agreement between the Customer and NTTS to provide and to use the Services defined below (the "Agreement") shall become effective on the date when NTTS notifies the Customer of an acceptance in writing of the Customer's offer which shall be made in a prescribed application form with the Customer's due signature.
    4. NTTS reserves the right to reject any application at its discretion without disclosing the reason for the same.
    5. The terms and conditions in the Agreement are expressly incorporated by reference into the application form when Customer makes the application for the Services. Should there be any inconsistency between the terms and conditions in the Agreement and application form, this Agreement shall prevail.
    6. The terms and conditions for the trial services shall be as set out separately in the trial terms and conditions.
  2. Services
    1. The services provided by NTTS under the Agreement are services to access the Internet which the Customer chooses by selecting the appropriate application form (the "Services"). Details of the Services are described in NTTS' brochure handed to the Customer separately (if any).
    2. The Customer may make use of the Services from the date as notified in writing by NTTS.
    3. In case the Customer makes application for Services, the Customer shall be provided with access account and mail account (collectively the "personal user identification") and password to use the Services unless the application is rejected by NTTS.
    4. The Customer agrees and acknowledges that the Customer’s use of the Services is also subject to the Network Management Policy for Consumer Broadband (which will be provided to the Customer upon request) and any acceptable use policy of NTTS (if any).
  3. Charges
    1. Unless otherwise agreed in writing, the complete list of charges for the Services is available at BB Internet Access Price (“Price List”).
    2. NTTS reserves the right to amend the charges from time to time upon prior written notice to the Customer, and such amendment shall take effect from the date determined by NTTS.
    3. All charges stated in the Price List are inclusive of Goods and Services Tax, and such Goods and Services Tax shall be borne by the Customer.
  4. Billing and Payment Terms
    1. NTTS will invoice Customer in advance for the month. Unless otherwise agreed between the parties in writing, payment for the Services under the Agreement shall be made within thirty (30) days from the invoice date by the method which NTTS specifies.
    2. Should the Customer fail to make the payment under the Agreement by the due date stipulated in Clause 4(1) hereof, NTTS reserves the right (a) to suspend or terminate the Services forthwith without notice, and/or (b) to claim overdue interest on a daily basis from the next day of the due date at the rate of fourteen point six percent per annum (14.6%p.a.) or the highest rate permissible by law, whichever is lower, for any amount remaining unpaid.
  5. The Customer’s Responsibilities
    1. The Customer shall:
      1. protect the secrecy of the password assigned to the Customer at all times and shall not reveal or disclose the same to any other person/corporation save for the authorized person(s) stated on the application form. The Customer should change his password from time to time to enhance its security;
      2. not make any other person/corporation use the personal user identification and password assigned to the Customer and shall not assign, rent, let or sublet the same to any other person/corporation in any manner;
      3. be fully responsible for and bear all charges, losses or damages arising from use of the personal user identification and/or password howsoever the same may arise; and
      4. use only his e-mail address and shall not in any way misrepresent or pass-off an e-mail address not belonging to the Customer as his e-mail address.
    2. The Customer undertakes:
      1. to comply with and ensure strict adherence of any instructions, rules, guidelines, codes or regulations issued from time to time by NTTS, the relevant governmental, statutory and regulatory body(ies) without delay and, when accessing any other network through the Services, comply with the rules applied for use of and access to such other network;
      2. to comply with all applicable laws of the Republic of Singapore governing the Customer's use of the Services;
      3. not to use the Services for any unlawful purpose including but not limited to vice, gambling or other criminal purposes;
      4. not to use the Services to access information or resources which are private to individuals or corporations unless such access has been authorised by the owners or holders of the right to such information and resources, and also not to use the Services to gain access to any computer system including any database, etc., connected to the Internet without authorization of the owner of such computer system;
      5. not to infringe any copyright or other intellectual property rights to the information or resources available through the use of the Services including use of the personal user identification or password;
      6. not to copy, upload, post, publish, transmit, reproduce or distribute in any manner whatsoever any information, software or other materials which is protected by a copyright or other proprietary rights or derivative works with respect thereto without authorization;
      7. not to use the Services to send, receive or display any message which is offensive on moral, religious, racial or political grounds or of an abusive, indecent, obscene or menacing nature and/or which is against public interest, public order or national harmony or which offends against good taste or decency;
      8. not to use the Services for persistently sending messages without reasonable cause or for causing any threat, harassment, annoyance, inconvenience or anxiety to any person;
      9. not to post or transmit any information or software which contains a virus, worm, cancelbot or other harmful components;
      10. to be solely responsible for all information, data and/or messages, etc., retrieved, stored or transmitted through the Services by the Customer and his authorized person(s);
      11. not to allow any person other than the authorized person(s) (where applicable) named in the list attached to the application form to use the Services;
      12. to make all authorized person(s) strictly comply with the obligations stated herein and to be responsible for any breach caused by the authorized person(s) and to be liable for any losses, damages, costs (including attorney's fee) and/or expenses arising from such authorized person(s)'s breach;
      13. to manage the use of the storage capacity of NTTS' mail server not to exceed the storage capacity allocated to the Customer;
      14. to be responsible for obtaining, setting up and/or configuring the various hardware, software and telecommunications circuits necessary to use the Service;
      15. to comply with NTTS' advice to upgrade (at the Customer's own cost and expense) its existing systems, including telecommunications circuits, which in the opinion of NTTS are inadequate or unable to cope with its telecommunications traffic and/or are likely to cause congestion in NTTS' facilities; and
      16. to notify NTTS forthwith of any change of information relating to the Customer's identity stated in the description of the application form.
  6. NTTS's Rights
    1. NTTS reserves the unfettered right to manage and control access into its facilities set up to provide the Service as well as the right to control or delete any information, messages, and/or data stored therein in a manner deemed appropriate by NTTS
    2. NTTS reserves the right to refuse, change or remove any allocated personal user identification and/or password which it deems inappropriate or offensive.
  7. Disclosure and Personal Data
    1. The Customer agrees and consents in advance to the disclosure and release, which will be made by NTTS, of any information, data and/or records in the possession of NTTS, at its sole discretion, relating to the Customer, the authorized person, its servants, employees or agents for the purpose of investigating any claim and/or dispute arising from or relating to the use of the Services, and which consent shall survive the suspension of the Services or the termination of the Agreement. NTTS shall not be liable for any losses, damages, costs (including attorney's fee) and/or expenses sustained by the Customer by reason of or in connection with the said disclosure and release nor for any error, omission or inaccuracy with respect to any information, data and/or records so disclosed or released.
    2. The Customer agrees and consents that NTTS may use the Customer’s personal data (as defined in the Personal Data Protection Act 2012) for the purpose of providing the Services to the Customer.
  8. NTTS's Non-liability
    1. NTTS shall not be responsible for any loss of information, data and/or message, etc., howsoever caused whether as a result of any interruption, suspension or termination of the Services or otherwise, or for the contents, accuracy or quality of information, data and/or message, etc., those which are available, received or transmitted through the Services.
    2. The Customer shall be solely liable and NTTS shall not be liable in any manner whatsoever for ensuring that in using the Services, all applicable laws, rules and regulations prescribed by the relevant governmental, regulatory and statutory authorities for the use of any telecommunications systems, services or equipment have at all times been complied with.
  9. Suspension of Services
    1. NTTS reserves the right to suspend indefinitely, without any notice, provision of the Services for the Customer in any of the following cases:
      1. the Customer fails to pay NTTS any sum due to NTTS; and/or
      2. the Customer breaches any terms and conditions herein.
      In case of the above-mentioned, the Customer shall remain liable for all charges accrued to NTTS under the Agreement notwithstanding the suspension of the Services.
    2. NTTS may suspend providing the Services, at any time, in any of the following cases:
      1. NTTS is unable to provide the Services due to reasons attributable to:
        1. the force majeure events said below;
        2. trouble with telecommunications circuits; or
        3. suspension of any services provided by Internet Service Provider which are not attributable to NTTS' responsibilities.
      2. Subject to seven (7) days prior written notice issued by NTTS, NTTS makes repair on, maintenance of or expansion of its facilities (including hardware and software) to provide and/or improve the Services. In the event the Services are suspended due to reasons mentioned above, NTTS shall not be liable for any losses, damages, costs and/or expenses incurred by the Customer in relation to suspension of the Services and also shall not refund any charges paid to NTTS.
    3. In the event the Services are suspended more than forty-eight (48) consecutive hours due to reasons attributable to NTTS' responsibilities, such as a breakdown of the hardware or trouble with software which compose of NTTS' facilities to provide the Services, NTTS shall offset the amount of the charges corresponding to the period of such suspension. The amount to be offset shall be calculated in accordance with following formula: (Monthly subscription fee / 720) X (Hours suspended-48)
    4. NTTS' LIABILITY WITH REGARD TO THE SUSPENSION OF THE SERVICES SHALL BE LIMITED TO THE OBLIGATIONS DESCRIBED ABOVE IN THIS CLAUSE, AND IN NO EVENT SHALL NTTS ASSUME ANY OTHER LIABILITY UNDER ANY APPLICABLE LAW IN RELATION TO SUCH SUSPENSION.
  10. Termination
    1. The Customer may terminate the Agreement in whole or in part by giving at least thirty (30) days prior written notice to NTTS.
    2. NTTS shall have the right to terminate the Agreement in whole or in part for convenience by giving 14 days prior written notice to the Customer (without stating a reason) subject to refund of the charges paid by the Customer in advance.
    3. NTTS shall have the right to terminate the Agreement forthwith in any one of the following events:
      1. the Customer breaches any provision herein and fails to cure such a breach within the designated period written in NTTS' notice;
      2. the Customer has provided untrue or incomplete information to NTTS; or
      3. the Customer becomes insolvent or unable to pay its debts as they become due or voluntary or involuntary bankruptcy proceedings are instituted against the Customer or a receiver or assignee is appointed for the benefit of the creditors of the Customer.
    4. Termination of the Agreement for any reason whatsoever shall be without prejudice to any rights accrued by the parties up to the date of such termination. Except for the case stated in the Clause 10(2) (Termination by NTTS), no charges paid for the Services shall be refunded to the Customer and if any outstanding charges are remaining, such outstanding charges shall be due and payable immediately upon termination of the Agreement.
    5. Notwithstanding the foregoing, if any outstanding charges are remaining, such outstanding charges shall be due and payable immediately upon termination of the Agreement and all other amounts owing by the Customer to NTTS including but not limited to reasonable costs incurred to third parties (when applicable) shall become immediately due and payable.
    6. Any reinstatement or re-subscription shall be made at NTTS’ sole and absolute discretion. NTTS may reject such reinstatement or re-subscription without notice or reasons to Customer. NTTS may charge and Customer agrees to pay a reinstatement or re-subscription fee for such reinstatement or re-subscription.
  11. Indemnity
    1. The Customer shall be responsible for resolving or dealing with any claim, disputes, suit, proceedings and/or actions whatsoever arising out of, resulting from or relating to the use of the Services unless such claim, disputes, suit, proceedings and/or actions is(are) attributable to NTTS' gross negligence in providing the Services.
    2. The Customer shall indemnify and hold harmless NTTS against any claim, disputes, actions, suits, proceedings and/or whatsoever arising from relating to the use of the Services and also against any liability, losses, damages, costs (including attorney's fee) and/or expenses suffered by NTTS arising from or connected in any way with any claim by reason of the Customer's use of the Services.
  12. LIABILITY
    1. NOTWITHSTANDING ANYTHING TO THE CONTRARY PROVIDED IN THE AGREEMENT, NTTS' TOTAL LIABILITY TO THE CUSTOMER FOR ANY CAUSE WHATSOEVER SHALL NOT EXCEED THE AMOUNT OF THE CHARGES FOR THE SERVICES WHICH HAS BEEN PAID BY THE CUSTOMER DURING THE ONE (1) YEAR PERIOD BEFORE THE DATE CAUSE(S) OF SUCH LIABILITY OCCURRED, AND IN NO EVENT SHALL NTTS BE LIABLE FOR ANY DAMAGES RESULTING FROM LOSS OF DATA OR USE, LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  13. Force Majeure
    1. NTTS shall not be liable for any failure to perform any part of its obligations under the Agreement (including, but not limited, provision of the Services) caused by, result from any reason beyond control of NTTS including but not limited to decrees or restraints by governmental authorities, acts of god, fire, strikes, war, riots and any other causes of such nature. The Services are provided on an "as is," "as available" basis. NTTS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NTTS makes no warranty that the Services will meet the Customer’s requirements, nor that the Services will be uninterrupted, timely, secure, or error free. No advice, information, or expectation, whether oral or written, obtained by the Customer through use of the Service shall create any warranty not expressly made herein.
  14. Waiver & Notices
    1. Any waiver by NTTS of any breach committed by the Customer shall not be construed as a waiver or relinquishment of NTTS' rights to future performance of such provision.
    2. All communications and notices provided for in the Agreement shall be in writing.
  15. Severability
    1. In the event that any part or parts of the Agreement will be held illegal, null or void by any court or administrative body of competent jurisdiction, such determination shall not affect the remaining parts of the Agreement, and they shall remain in full force and effect as if such part(s) determined illegal or void had not been included.
  16. Assignment
    1. Neither party hereto shall without prior written consent of the other party assign the Agreement or any part thereof to any other party. Notwithstanding such provisions, NTTS shall be entitled to assign its rights and benefits and transfer its obligations under the Agreement to any third party as part of a corporate restructuring by giving the Customer due written notice thereof.
  17. Entire Agreement
    1. The Agreement constitutes the entire understanding and agreement between the Parties concerning its subject matter, and supersedes and replaces any prior oral or written statements, representations, agreements or understandings between the Parties relating to that subject matter.
  18. Governing Law
    1. The Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore.
  19. Jurisdiction
    1. The Parties hereto shall submit to the exclusive jurisdiction of the courts of Singapore with respect to any disputes arising from the Agreement.
